Voice Sonic Labs - Terms of Service
Applies to the Voice Sonic Labs services available at vslabs.ai and related applications and APIs.
Plain-language summary (not part of the contract)
These Terms govern the use of Voice Sonic Labs ("VSL") to generate dubbed, translated, lip-synced, or synthetic voice content. Key points: you must have the necessary rights and consent to upload audio and create voice models; you may not impersonate or clone voices without authorisation; you are responsible for how you use the outputs; and we may suspend accounts that violate these Terms or our safety rules.
If there is any conflict between this summary and the Terms below, the Terms below control.
1. Who we are and how to contact us
These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and Voice Sonic Labs Ltd ("VSL", "we", "us", "our"). 2. Definitions
- "Services" means the VSL platform, websites, applications, and APIs that we make available.
- "Input" means any text, audio, video, images, or other content you upload to or provide through the Services.
- "Output" means any content generated by the Services from your Input, including synthetic audio, translated scripts, subtitles, or lip-synced video outputs.
- "Content" means Input and Output together.
- "Voice Data" means audio recordings and voice characteristics used to create or verify a voice model.
- "User Voice Model" means a voice model derived from Voice Data that generates Output that sounds like a particular voice.
- "VSL Models" means our and our licensors' models, systems, and algorithms used to provide the Services (including voice, translation, dubbing, or lip-sync models).
- "Public Figure" means a celebrity, sports personality, actor, musician, politician, or other person whose identity is widely known.
3. Eligibility and account security
- You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Services.
- If you use the Services on behalf of a company or another person, you represent that you have the authority to bind that entity, and that entity is responsible for your use.
- You are responsible for all activity under your account. Keep credentials secure and notify us promptly of suspected unauthorised access.
4. The Services and beta features
We may offer features marked beta, preview, experimental, or similar ("Beta Services"). Beta Services may be changed or discontinued at any time and may be less reliable. To the fullest extent permitted by law, Beta Services are provided on an as-is, as-available basis.
5. Content, voice models, and your responsibilities
5.1 Your rights and permissions
You keep your rights in your Input. Subject to these Terms, you also own your Output. However, Output does not include, and does not grant you any rights in, VSL Models or any underlying software or templates.
5.2 Your warranties
You represent and warrant that:
- You have all rights and permissions needed to upload Input and to generate, use, and distribute Output, including all necessary consents from any individuals whose voice, likeness, or personal data appears in your Input or Output.
- You will not upload or use any Voice Data for anyone other than yourself unless you have explicit, informed permission and legal rights to do so.
- Your use of the Services and any Output will comply with all applicable laws and regulations (including privacy, publicity, biometric, consumer protection, election, and intellectual property laws).
5.3 User Voice Models
If the Services let you create a User Voice Model, you may only create a model for a voice you are authorised to use. We may require you to complete verification steps and provide proof of rights and consent before enabling voice model creation or sharing.
5.4 Use of Content to provide and improve the Services
To operate the Services, we need permission to process your Content. You grant VSL and our service providers a non-exclusive, worldwide license to host, store, process, reproduce, and transmit your Content only as necessary to provide, maintain, and secure the Services, and to enforce these Terms. We may also use Content to debug, improve quality, and develop new features. Where required by law, or where we offer an opt-out or opt-in choice, we will honour those settings for training and improvement uses. See our Privacy Policy for details.
6. Acceptable use and safety rules
You must follow these rules when using the Services. Violations may result in the removal of content, suspension, or termination.
6.1 Prohibited uses
- Unauthorised voice cloning or impersonation: creating, using, or distributing Output that replicates a person’s voice or identity without consent or legal right.
- Deceptive or harmful impersonation: using Output to mislead others about who is speaking, to commit fraud, to obtain money or information, or to cause harm.
- Public figure misuse: creating or using a User Voice Model or Output that imitates a Public Figure without documented authorisation from the rights holder or authorised representative.
- Election abuse: using the Services to impersonate candidates or officials, suppress voting, or manipulate civic processes.
- Harassment, hate, or exploitation: content that is threatening, defamatory, hateful, sexually exploitative, or that targets protected groups.
- Child safety violations: any use involving minors’ Voice Data, or content that sexualizes or exploits minors. Uploading children’s Voice Data is prohibited.
- IP and rights violations: infringing copyright, trademark, rights of publicity, privacy, or other rights.
- Security abuse: attempting to bypass safeguards, scrape the Services, probe vulnerabilities, or interfere with the Services.
- Illegal activities: using the Services for any unlawful purpose.
6.2 Disclosure and labelling
You are responsible for adding disclosures or labels, as required by law, regulation, or platform policy, indicating that the content is AI-generated or AI-altered. You must not remove any provenance, watermark, metadata, or other technical measures that we provide to help indicate synthetic generation.
6.3 Reporting misuse
If you believe the Services have been used to misuse your voice or identity, report it to support@vslabs.ai. We may request information to investigate and may take actions, including content removal, account suspension, and referral to law enforcement, where appropriate.
7. Public figure and celebrity licensing
VSL is designed to respect the rights to voice and identity. If you wish to create content featuring a Public Figure’s voice (including celebrities, sports personalities, or actors), you must have a written license or other valid authorisation from the rights holder or their authorised representative. We may require proof, such as a signed agreement, agency authorisation, or other documentation, before authorising such use, and we may limit sharing, distribution, and permitted use.
8. Subscriptions, fees, cancellation, and refunds
- Plans and billing are described at the time of purchase. Subscriptions renew automatically unless you cancel before the renewal date.
- You are responsible for all applicable taxes and bank fees.
- If your usage exceeds plan limits, overage charges may apply as disclosed at the time of purchase or in your order form.
- Unless required by law, fees are non-refundable. We may offer discretionary refunds for technical errors or unacceptable service quality.
9. Third-party services
The Services may rely on or integrate with third-party services (for example, cloud hosting, payment processors, or specialised AI components). Third-party services are not under our control and may have their own terms and privacy policies. We are not responsible for third-party services, and your use of them may be governed by separate terms.
Some third parties that process Content or personal data on our behalf may be "subprocessors" under applicable data protection law. Key subprocessors are described in the Privacy Policy (including Schedule A). Enterprise customers may request the current list and notice process under their DPA by emailing privacy@vslabs.ai.
10. Intellectual property complaints and takedowns
We respect intellectual property and personality rights. We may remove content and suspend accounts for repeated infringement. To report alleged infringement (including unauthorised voice, likeness, or publicity rights use), email support@vslabs.ai with sufficient information to identify the content, your contact details, and a statement that you have a good-faith belief the use is unauthorised.
11. Termination
You may terminate your use of the Services at any time. We may suspend or terminate access if we reasonably believe you violated these Terms, created risk or harm, or if required by law. Upon termination, your right to use the Services ends. Certain provisions, including ownership, disclaimers, limitations of liability, and indemnities, survive termination.
12. Disclaimers
To the fullest extent permitted by law, the Services (including Beta Services) are provided on an as-is, as-available basis. VSL disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs may be inaccurate, incomplete, or unsuitable for your intended use. You are responsible for reviewing the output before use.
13. Limitation of liability
To the fullest extent permitted by law, VSL will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities. To the extent liability cannot be excluded, VSL’s total liability for all claims in any 12-month period is limited to the greater of (a) the amounts you paid to VSL for the Services in that period, or (b) GBP 100.
14. Indemnity
To the fullest extent permitted by law, you will indemnify and hold harmless VSL, its affiliates, and their directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your Content; (b) your use of the Services; or (c) your breach of these Terms, including any allegation that your Input or Output infringes or misappropriates any third-party rights (including publicity, privacy, or intellectual property rights).
15. Dispute resolution and arbitration
If you have a dispute with us, contact support@vslabs.ai, and we will try to resolve it informally. If not resolved within 30 days, any dispute will be finally settled by binding arbitration administered by the London Court of International Arbitration (LCIA) under its rules. You and VSL agree to bring claims only on an individual basis and not as part of any class or representative action, to the extent permitted by law.
16. Governing law
These Terms and any dispute arising out of or relating to them will be governed by the laws of England and Wales, without regard to conflict-of-laws principles, except where mandatory consumer laws apply.
17. Miscellaneous
- We may update these Terms from time to time. If changes are material, we will provide notice as required by law.
- If any provision is unenforceable, the remaining provisions remain in effect.
- You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, or asset sale.
